PETER "CHIP" VANDENBERG, Jr., B.A.

Chairman, ATX Networks Corp.

Chip joined Trivest in 1987 and has been responsible for numerous acquisitions, refinancings, restructurings, and dispositions. His responsibilities include the origination of investment opportunities and the oversight of portfolio companies. Chip currently serves as Chairman of ATX Networks Corp., and is a Director of CMX, Inc. and Lady of America Franchise Corp. He also served as Chairman of Herbal Magic. Chip has significant operating experience and has served as a senior management team member operating a diverse group of Trivest portfolio companies in a variety of industries, including consumer products, plastics/packaging and transportation. Prior to joining Trivest, Chip spent ten years with KPMG Peat Marwick, the last four years as a Senior Manager in Miami. He is a certified public accountant and received his B.S. in accounting from William Paterson University.

KEN WILDGOOSE, E.M.B.A.
President & CEO, ATX Networks Corp.
Ken started his career in the cable industry over 30 years ago with Bell Canada. He then continued to build his knowledge base by working in technical operations for Canadian cable operators for ten years. In the last 20 years Ken has worked in senior executive leadership roles with respected companies including, CUC Broadcasting, Trillium Communications and Capella Telecommunications Inc. Ken has shown exceptional ability to create and manage corporate growth including direct involvement with 10 acquisitions in the cable industry. Ken has an Executive Masters in Business Administration from Queen's University. Ken joined ATX Networks as President in 1999. Ken has been instrumental in bringing the company to its present state of dynamic and continued growth.

JAY LEE, Hons. B.Sc., P.Eng., M.Sc.
Chief Technology Officer & VP Business Development, ATX Networks Corp.
As a leading-edge product developer and strategic thinker, Jay has contributed greatly to ATX Networks' ability to deliver both innovative and effective technology solutions for customers. Along with Ken Wildgoose, Jay has been a key catalyst for the Company's growth. Jay joined ATX in 1998 as R&D Engineer and Business Development Manager, and was promoted to Vice President of Engineering and Business Development in 2000. Jay brings a highly specialized technical skill set to ATX, combined with a keen understanding of the broadband business environment. Jay was promoted to Chief Technology Officer in 2008. Previous to ATX, Jay worked as an Engineer for Schlumberger (wire-line services for oil and gas industry) and Siemens (formerly "Milltronics") as an R&D Design Engineer. Jay holds a Bachelors and Masters of Science in Engineering from Queen's University.

JAMIE E. ELIAS, B.S., M.B.A.

Jamie joined Trivest in 1997. His responsibilities include the origination, structuring and closing of investment opportunities, and the oversight of portfolio companies. Jamie has private equity experience in several industries including business services, consumer products, furniture and electronics. He currently serves as Chairman of Allegiance Security Group, LLC and is a Director of ATX Networks Corp., DirectBuy, Directed Electronics, Inc. and Twin-Star International. Prior to joining Trivest, Jamie served as a senior accountant in the Audit and Business Advisory Group of Price Waterhouse L.L.P., Miami. He received his B.S., magna cum laude, from Boston College and his M.B.A. from the Harvard Business School.

DAVID GERSHMAN, B.A., J.D.
Principal & General Counsel, Trivest Partners, L.P.
David joined Trivest in 2002. His responsibilities include providing transactional services and comprehensive legal oversight to the portfolio companies and assisting in the corporate acquisition process with the deal teams. David currently serves as a Director of ATX Networks Corp. and previously served on the board of Herbal Magic. Prior to joining Trivest, he was partner-elect at Akerman Senterfitt in the mergers & acquisitions, private equity and securities law areas. David previously was in-house M&A Counsel at Automatic Data Processing, Inc. and practiced law in the New York office of Morgan Lewis, where he focused on representing private equity firms. He earned his B.A., cum laude, from Union College, his J.D. from New York University School of Law, and is a member of the bar in New York and Florida.

JORGE A. GROSS, Jr., B.A., M.B.A.
Vice President, Trivest Partners, L.P.
Jorge joined Trivest in 2006. His responsibilities include the analysis of investment opportunities, identification of strategic acquisition targets and monitoring of existing portfolio companies. Jorge currently serves as a Director of ATX Networks Corp. Prior to joining Trivest, Jorge was an Associate at Credit Suisse First Boston. In this capacity, he was responsible for evaluating and executing long-term, value-oriented investments in publicly traded companies for private clients. He received his B.A. in Economics from Columbia University and M.B.A., with honors, from The Wharton School at the University of Pennsylvania.
